Terms of Service

Version 2.0 · Effective 20 July 2026

These Terms govern access to Shoodio and form a contract between you and Puristo GmbH, Waldbach 51, 4816 Gschwandt bei Gmunden, Austria, commercial register FN 346897v, Landesgericht Wels ("Shoodio", "we", "us"). Contact: info@shoodio.ai. Safety reports: safety@shoodio.ai.

If you use Shoodio for an organisation, you confirm that you are authorised to bind that organisation. Mandatory consumer rights always prevail over conflicting provisions of these Terms.

1. Eligibility and accounts

You must be at least 16 years old and legally able to enter this contract. Accounts are personal unless a team workspace expressly permits multiple authorised members. You must provide accurate information, protect credentials and multi-factor authentication methods, and promptly report unauthorised access.

Organisation owners control workspace membership and are responsible for assigning appropriate permissions. Each member remains responsible for activity performed through their credentials. You may not sell, share or transfer an account to bypass plan, compliance or access limits.

2. The service

Shoodio is a creative production service for fashion images and videos using uploaded assets, licensed model identities, configurable sets and generative technology. Outputs are probabilistic: the same request may produce different results and may contain visual errors. Preview, beta or experimental functions may change or be withdrawn.

Model images on Shoodio may represent synthetic identities or identities supplied under contractual rights. They are licensed production assets—not public-domain people and not permission to clone, extract or impersonate an identity.

3. Plans, subscriptions and credits

Current features, prices, billing intervals and included credits are shown before checkout. Paid subscriptions renew for the displayed billing interval until cancelled. Cancellation stops the next renewal; access normally continues until the end of the paid period.

Credits are service units, not money, electronic money or transferable property. Subscription credits may reset at the end of the billing period as stated at purchase. Purchased credits remain subject to the conditions shown at purchase and the continued availability of the account. Credits cannot be sold or transferred.

Credits are charged for completed operations as described in the interface. A technical failure before a substantive Enhanced Review is completed is returned automatically. A completed review uses one credit regardless of whether it changes the decision.

Consumers retain all statutory cancellation, conformity, refund and remedy rights. Where you expressly request immediate performance of digital content or a digital service during a withdrawal period, the checkout will separately request any consent and acknowledgement required by law. Nothing in these Terms waives a withdrawal right without the legally required conditions. Business-customer payments are otherwise non-refundable except where required by law or expressly stated at checkout.

We may change future prices or plan contents with reasonable advance notice. A material change does not retrospectively alter an already paid billing period.

4. Your uploads and instructions

You retain your rights in products, photographs, logos, locations, prompts and other material you submit ("User Material"). You grant us a non-exclusive, worldwide licence for the term of your account to host, reproduce, transform and transmit User Material only as needed to provide, secure and support the service, comply with law and resolve a reported violation.

You confirm that you have all rights, releases and permissions required for each upload and requested use, including intellectual-property, trademark, property, publicity and privacy rights. Do not upload confidential personal data or identifiable people unless the service expressly supports it and you have a lawful basis and all required permissions.

Profile images must be suitable for a general audience and are reviewed as a separate asset class. An older profile image that predates mandatory review may be hidden until it is replaced or passes the current review.

A technical or compliance approval does not verify ownership and does not create rights you do not hold.

Custom asset analysis is limited to 1,000 newly processed source images per billing workspace and calendar month. Each distinct image or product view submitted for a paid analysis counts as one unit; an exact cached reuse is not counted again. Once the limit is reached, further custom asset processing may remain unavailable until the next monthly period, while already approved assets remain usable.

5. Outputs and permitted commercial use

Subject to payment, these Terms and third-party rights, you may use and commercialise outputs created for you. We assign to you any transferable rights we may hold in an output; where assignment is not legally possible, we grant a perpetual, worldwide, non-exclusive commercial licence.

This does not transfer ownership of the Shoodio platform, source code, trademarks, catalog assets or the underlying model identity. Rights in an output may be limited by your input rights, applicable law and the non-exclusive nature of generative results. Similar outputs may be produced for others.

You must review every final image or video before publishing it. You are responsible for product accuracy, advertising claims, disclosures, clearances, audience suitability and local law.

6. Model identity and partner protection

You may use a licensed model identity only in outputs generated within Shoodio and within the rights shown for that model, plan and production. You must not:

  • extract, clone, fine-tune on, train on or rebuild a model identity;
  • distribute model source assets, reference images or identity embeddings;
  • imply that a represented person endorses a political position, product or statement outside the approved fashion production;
  • use an identity for defamation, harassment, pornography, sexual exploitation, propaganda or deception;
  • remove safeguards or use technical means to recreate a declined scenario elsewhere.

These restrictions survive termination for every retained output and source asset.

7. Ethical Use Policy

The versioned Ethical AI and Model Protection Standards form part of these Terms. Shoodio is a fashion-first service. Generally supported material includes conventional apparel, footwear, fashion accessories, ordinary brand-safe merchandise and credible fashion locations.

Context-limited material may include lingerie, non-explicit adult-sensitive fashion and concrete political or geopolitical statements. It may be restricted to verified adult productions or product-only presentation without a persistent human identity.

Prohibited material includes:

  • hate, extremist or terrorist propaganda, including Nazi leadership imagery used as a motif or endorsement;
  • gore of any kind, credible violent threats, severe cruelty or glorification of serious harm;
  • weapons, sex toys, explicit sexual content, coercion or exploitation;
  • sexualisation or endangerment of minors;
  • identity abuse, non-consensual sexual depiction, impersonation or rights evasion;
  • illegal content and attempts to defeat previous restrictions.

Provider-side safety controls may independently decline a request and cannot be overridden.

8. Under-18 productions

Access to under-18 model identities may require an eligible paid plan, verified business or freelance status and multi-factor authentication. The server applies these requirements even when an interface control is unavailable or bypassed.

An item does not need to be marketed as children’s clothing to be assessed for an under-18 shoot. Shoodio evaluates whether the complete intended representation is appropriate. Adult-only assets cannot be used with an under-18 identity. User-supplied custom locations are unavailable for under-18 productions in the current release.

9. Automated asset and shoot review

Shoodio analyses submitted assets when they enter the service and analyses the exact intended ensemble before generation. Relevant signals can include visual category, visible text, age suitability, location viability, selected model, pose, action and prompt. A decision is bound to the reviewed file and context; changing either may require a new review.

Possible results are approval, product-only use, adult-only use or rejection. Users cannot edit a compliance classification. No automated system is infallible, and an approval is not legal advice or a guarantee of channel suitability.

After an approved generation completes, Shoodio does not automatically inspect every resulting image or video again. Your final publication review remains mandatory.

10. Enforcement levels and strikes

  • T1 — Restriction: unsuitable, uncertain or context-limited material without a confirmed abuse finding. The asset or shoot is declined or limited; no strike is added.
  • T2 — Violation: a clear, serious policy breach outside the zero-tolerance categories. The request is blocked and one active strike is recorded.
  • T3 — Zero tolerance: severe abuse such as Nazi propaganda, child sexual exploitation, terrorist recruitment, a targeted violent threat or non-consensual sexual exploitation of a model identity. The account is immediately placed on Security Hold for specialist review and may be permanently excluded.

T2 strikes expire after 12 months. Three active T2 strikes place the account on Security Hold pending review. The same file or a perceptually equivalent variation cannot create multiple strikes, reset review limits or evade an existing decision. An uncertain automated result alone does not create a T2 strike or permanent ban.

During a Security Hold, access is limited to the compliance portal, reason notice, data export, deletion tools and correction channel. A permanent ban requires authorised review. We may take immediate steps required to prevent harm, preserve evidence or comply with law.

11. Enhanced Review and human correction

Eligible T1 and T2 asset decisions can receive up to three Enhanced Reviews within seven days. Each request requires a 50–2,000 character statement explaining the intended fashion use and confirming the required rights. The unchanged asset, original decision, current policy and statement are evaluated together.

After server-side eligibility confirmation, one credit is reserved and deducted when an Enhanced Review is submitted. The credit is kept only when a substantive review is completed. A terminal technical failure or service refusal automatically returns it and does not consume a completed attempt. A completed review can uphold rejection, allow verified adult-only use or allow all eligible age groups subject to the final shoot review.

Enhanced Review cannot override zero-tolerance rules, missing rights, identity restrictions or deterministic under-18 restrictions. Security Holds, account terminations and other decisions that significantly affect access have a separate, free human correction route. You may explain your position and contest the decision. We provide a reasoned outcome without disclosing security information that would enable evasion.

12. Reports and rights-holder notices

Report illegal content, intellectual-property infringement or misuse of a model identity to safety@shoodio.ai. Include the relevant URL or asset reference, the right or rule concerned, your contact details, a good-faith statement and supporting evidence. We may request identity or authority verification before acting on a rights-holder request.

We may remove or restrict content, preserve required evidence and notify affected users where lawful. Knowingly false or abusive reports are prohibited.

13. Service protection

You must not probe, disrupt, overload, scrape or reverse-engineer the service; bypass quotas, rate limits, access controls or compliance checks; automate account creation; introduce malware; or access another user’s data. Reasonable security research requires prior written authorisation.

14. Availability and changes

We operate Shoodio with professional care but do not guarantee uninterrupted availability. Maintenance, provider outages and emergency security work may temporarily affect service. We may modify the service where reasonably necessary for security, law, interoperability or product improvement. Material adverse changes to paid functionality will be communicated when practicable.

15. Suspension, termination and data

You may cancel a subscription or request account deletion through the available settings. We may restrict or terminate access for non-payment, material breach, security risk, fraud, legal requirement or the enforcement process above. We apply proportionate measures unless immediate action is necessary.

Termination ends access and licences to platform assets but does not erase obligations concerning retained outputs, outstanding payments, model identities, confidentiality, liability or dispute resolution. Data is handled according to the Privacy Policy and applicable retention duties. An unban does not restore files already lawfully deleted.

16. Our intellectual property

Shoodio, its software, interface, design system, catalog content, documentation and trademarks belong to Puristo GmbH or its licensors. Except for the limited right to use the service, no platform rights are transferred. Feedback may be used without restriction provided we do not identify you publicly without permission.

17. Warranties and conformity

We provide the service with the objective features, security updates and conformity required by applicable law. Subject to those mandatory rights, business customers receive the service “as available”. We do not warrant that a generative output will be unique, error-free or fit for a purpose not expressly agreed.

18. Liability

Nothing limits liability that cannot lawfully be limited, including liability for intent, gross negligence, death or personal injury, mandatory product or consumer liability, or a statutory guarantee.

For consumers, statutory liability rules apply. For business customers, and only to the extent permitted by law, liability for slight negligence is limited to foreseeable damage from breach of a material contractual duty; aggregate liability for other claims is limited to fees paid for the affected service during the preceding 12 months. The limit does not apply to the exceptions above, confidentiality breaches or infringement caused by our own material.

Business customers indemnify us against third-party claims arising from unlawful User Material or a use outside granted rights, to the extent the customer caused the claim and the indemnity is permitted by law. We will provide prompt notice and reasonable control of the defence.

19. Governing law and disputes

Austrian law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice does not remove mandatory protections of their country of habitual residence, and statutory consumer venues remain available. For business customers, the competent court in Wels, Austria, has exclusive jurisdiction.

Contact info@shoodio.ai first so we can seek an informal resolution. Any mandatory out-of-court or regulatory remedy remains unaffected.

20. Changes, policy versions and acceptance

The current version and effective date appear above. We will announce material changes in advance by email or in-product notice where reasonably possible. Material changes require renewed acceptance before further Studio use; legal pages, export, deletion and logout remain accessible. Earlier acceptances are recorded with version and timestamp.

If a provision is unenforceable, the remainder remains effective. A failure to enforce a provision is not a waiver. We may transfer this contract as part of a corporate reorganisation or sale while preserving your mandatory rights; you may not transfer it without our consent except where law allows.
