Partner Terms

Version 1.0 — Effective 2 September 2026

These Partner Terms govern the Shoodio Partner Programme and the Shoodio Referral Programme. They form a contract between you and Puristo GmbH, Waldbach 51, 4816 Gschwandt bei Gmunden, Austria, commercial register FN 346897v, Landesgericht Wels ("Shoodio", "we"). Contact: info@shoodio.ai.

They apply in addition to our Terms of Service and our Privacy Policy. Where these Partner Terms and the Terms of Service conflict, these Partner Terms prevail for the programmes described here. Mandatory consumer rights always take precedence over any conflicting provision.

1. The two programmes

Shoodio rewards recommendations in two ways. Both use the same referral link and the same attribution rules; they differ in who takes part and in what is earned.

Referral Programme (credits). Every Shoodio account with a referral link takes part. You earn 20 % of the credits that a person you referred receives with each paid membership payment — for life. The reward is paid in Shoodio credits, not in money.

Partner Programme (cash). Partners are accounts whose application we have approved. An approved partner earns 20 % in cash on every payment of the customers they refer — memberships and credit packs alike, for life. The reward is paid out in US dollars.

An account is either a partner or a referrer, never both for the same customer. Once a partner application is approved, later payments of your referred customers are settled as cash under the Partner Programme; commissions already booked as credits stay credits.

Applying as a partner is free. We decide on applications at our discretion, may ask for information about your audience and your channels, and may withdraw an approval under section 13.

2. Referral links, cookie and attribution

Your personal referral link and, for partners, an optional discount code are the only ways to attribute a customer to you.

When someone opens your link, we set a referral cookie in their browser for 30 days. The first referral link a browser sees wins; a later link from someone else does not overwrite it within those 30 days. A customer is attributed to you if they create their Shoodio account while that cookie is present, or if they enter your link or a discount code assigned to you at signup or checkout.

Attribution happens once, at account creation, and lasts for the lifetime of that account. A customer who already has a Shoodio account, or who is already attributed to someone else, cannot be attributed to you. We do not re-attribute customers afterwards, and we are not liable for attributions that fail because cookies are blocked, deleted or expired, or because the customer signed up in another way.

3. What earns a commission

Commission basis. The basis is the amount the customer actually paid for the transaction, after any discount and excluding taxes collected by Stripe as Merchant of Record. Payments of zero — for example a 100 % discount, a free trial or a change of billing interval without a charge — earn nothing.

Partner Programme (cash). 20 % of the commission basis on every payment of a referred customer: new memberships, renewals, the difference charged on an upgrade, and credit packs.

Referral Programme (credits). 20 % of the credits the referred member receives with a paid membership payment, rounded down to a whole credit. A monthly membership counts the credits of that month; a yearly membership counts the credits of the whole year at the time of payment; an upgrade counts the additional credits charged for the difference. Credit packs do not earn credits. A result of zero earns nothing.

Commission rates, the minimum payout and the maturity period are those stated in these Partner Terms or, where we agree individual conditions with a partner in writing, those conditions. Individual conditions apply only to payments made after they take effect.

4. Maturity period of 60 days

No commission is paid out or credited while the underlying payment can still be reversed. Every commission therefore matures 60 days after the payment — the period within which Stripe can refund a purchase.

Until then the commission is shown as pending, with its amount and its maturity date. It becomes payable (cash) or is credited automatically (credits) once the 60 days have passed, provided the payment was not refunded and is not the subject of a dispute.

5. Refunds, chargebacks and netting

If a payment is refunded in full, reversed or lost in a dispute, the commission on it is cancelled.

  • A commission that has not matured yet is cancelled without anything owed by either side.
  • A cash commission that has already been paid out is deducted from your next payout. If no further commissions accrue, we may ask you to repay the amount within 30 days.
  • Credits that have already been credited are deducted from your credit balance — first from purchased credits, then from membership credits. Your balance never goes below zero; any remainder is recorded and offset against your next credit commissions.

If a refund is later withdrawn or a dispute is decided in the customer's favour, the commission is reinstated.

6. Dispute hold

While a customer disputes a payment with their bank or card issuer, every commission on that payment is placed on hold. It is neither paid out nor credited until the dispute is closed. If the dispute is lost, section 5 applies; if it is won, the hold is lifted and the commission continues to mature or becomes payable.

7. Self-referral and fraud

You may not refer yourself. This includes accounts you control, accounts of your own company or organisation, accounts created for the purpose of collecting a commission, and accounts paid with your own payment method.

We check for this automatically, among other things by comparing a pseudonymous identifier of the payment method that Stripe provides (the card fingerprint), e-mail aliases and account data. A payment that we identify as a self-referral earns no commission. In addition, we may cancel all unpaid commissions, revoke credits already credited, suspend or terminate your participation, and claim back amounts already paid.

The same applies to any other manipulation of the programmes — for example artificial signups, misuse of discount codes, purchases made only to trigger a commission, or purchases that are refunded after the commission has been paid.

8. Payouts for partners

When. We prepare partner payouts once a month, on the 15th, for all commissions that have matured by then, are not on hold, and remain after netting under section 5.

Minimum. A payout is made when the payable amount reaches 50 US dollars. Smaller amounts are carried forward to the next month.

Currency and method. Payouts are made in US dollars (USD) by bank transfer or PayPal, to the payout details stored in your partner dashboard. Fees charged by your bank or by PayPal and any currency conversion are borne by you. A payout is complete when we have instructed it; each payout carries a reference number and a statement listing the underlying commissions.

Before the first payout. We can only pay out once you have accepted the current version of these Partner Terms and provided the following in your partner dashboard: your legal form (private individual or business), your address and country, your tax status, and valid payout details — an IBAN with the account holder's name, or a PayPal address. If any of these is missing or invalid, the payout is deferred until it is complete. Credits under the Referral Programme are never paid out in money.

9. Taxes and self-billing

You are responsible for declaring and paying all taxes and contributions that apply to your commissions, including income tax and value-added tax.

For business partners we settle commissions by self-billing: we issue a credit note for each payout. A credit note with VAT treatment under the reverse-charge mechanism requires a valid VAT identification number (UID) on file; without it, we settle the commission as stated, and you remain responsible for any tax due.

We may request tax information such as a taxpayer identification number, and we may report commission payments to tax authorities where a reporting obligation exists — for example under the rules implementing EU Council Directive 2021/514 (DAC7) or Austrian reporting duties. Payouts may be withheld until information required by law has been provided.

10. Marketing rules

You promote Shoodio in your own name and at your own expense. When doing so you must:

  • disclose that you may earn a commission, in the way the law and the platform you use require (for example "advertisement" or "affiliate link");
  • not bid on "Shoodio", misspellings of it or our product names in paid search, and not register domains, social-media handles or app names that contain "Shoodio" or could be mistaken for us;
  • not send unsolicited messages (spam), post your link in places where it is not wanted, or use automated traffic;
  • not make claims about Shoodio, its results, prices or discounts that go beyond what we publish, and not promise earnings or outcomes;
  • not present yourself as Shoodio or as acting on our behalf, and use our name and logo only as we provide them;
  • not place your link next to illegal, defamatory, discriminatory or sexually explicit content, or in a context that violates our Terms of Service.

Discount codes issued to a partner may be shared only through the partner's own channels; posting them to coupon aggregators is permitted only with our written consent. A breach of these rules is a material breach of these Partner Terms.

11. Credits

Credits earned under the Referral Programme are usage units on your Shoodio account, as described in the Terms of Service. They have no monetary value, cannot be paid out, sold or transferred, and are used according to the rules that apply to your plan. They can only be credited to an existing account; if your account is deleted before a pending commission matures, the credits lapse.

12. Data protection

You see the customers you referred only in masked form — as a numbered customer with the date of signup, the type and date of each payment and the resulting commission. We do not disclose names, e-mail addresses or other personal data of referred customers to you, and you must not attempt to identify them.

Your own data — including the details you provide for payouts and tax purposes — is processed to run the programmes, to pay you and to meet our legal obligations, as described in our Privacy Policy. Payout and tax records are kept for as long as commercial and tax law requires.

13. Term and termination

Participation begins when you accept these Partner Terms and runs for an indefinite period.

You can end your participation at any time by writing to info@shoodio.ai or by deleting your account. We can end your participation at any time with 14 days' notice, and without notice if you breach these Partner Terms, the Terms of Service or the law, or if we have reason to suspect fraud.

On ordinary termination, commissions already matured are paid out on the next payout date if they reach the minimum, and pending commissions continue to mature and are settled as long as your account exists. On termination for breach or fraud, all unpaid commissions are forfeited and section 7 applies.

We may change, suspend or end either programme with 30 days' notice. Commissions earned before that date remain unaffected.

14. Changes to these Partner Terms

The version and effective date appear at the top. We may change these Partner Terms with at least 14 days' notice by e-mail or in the app. Material changes require your renewed acceptance before further participation; commission rates and payout conditions change only for payments made after the effective date of the new version. Acceptances are recorded with version and timestamp.

15. Relationship, liability and law

You take part as an independent party. These Partner Terms create no employment, agency, partnership or exclusivity, and you may not enter into commitments on our behalf.

The liability provisions of the Terms of Service apply. We are not liable for commissions lost because a customer could not be attributed for reasons outside our control.

Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For business partners the competent court in Wels, Austria, has exclusive jurisdiction. Consumers keep the mandatory protections of the country in which they usually live, and statutory consumer venues remain available.
